Member Agreement

Effective Date: December 2024

This Member Agreement ("Agreement") is between you ("Member") and ServiceBased ("Company"). By joining our program, you accept all terms outlined below.

1. Membership Eligibility

To become and remain a member, you must:

Be 21 years of age or older

Be a legal resident of California

Possess a valid Social Security Number

Provide government-issued photo identification

Maintain accurate contact information

2. Program Description

IncomeOS™

Company facilitates your participation in promotional opportunities

Company handles all administrative tasks

Member receives 5% of generated revenue

No upfront costs or fees required

3. Member Responsibilities

You agree to:

Provide truthful and complete information

Update your information within 7 days of any changes

Respond to verification requests within 48 hours

Maintain confidentiality of program details

Report earnings on your tax returns

4. Payment Structure

Earnings Distribution

Member receives 5% of all generated revenue

Payments processed.

Minimum payout threshold: $10

Payments via direct bank deposit

Payment Schedule

Earnings calculated on the 15th and last day of each month

Payments issued within 3 business days

Detailed earnings statements provided monthly

5. Tax Obligations

Members are independent contractors, not employees

Company will issue Form 1099-MISC for earnings over $600 annually

Members are responsible for all tax obligations

Company does not withhold taxes from payments

6. Confidentiality

Members agree not to disclose:

Specific operational details of the program

Proprietary company information

Internal processes or systems

Other members' personal information

7. Program Rules

Permitted Activities

Maintaining one active account

Accessing member dashboard

Receiving program benefits

Contacting support as needed

Prohibited Activities

Creating multiple accounts

Sharing account credentials

Misrepresenting the program to others

Attempting to manipulate earnings

Violating any applicable laws

8. Account Termination

By Member

Cancel anytime without penalty

Submit written notice to [email protected]

Final payment issued within 30 days

By Company

Company may terminate for:

Violation of this Agreement

Fraudulent activity

Providing false information

Inactivity exceeding 12 months

9. Earnings Disclaimer

Results vary by member

No specific earnings guaranteed

Past performance doesn't ensure future results

External factors may affect earnings

10. Limitation of Liability

Company's liability is limited to:

Amounts actually earned by Member

Direct damages only

Maximum of $1,000 per claim

11. Dispute Resolution

Process

Written notice to Company

Good faith negotiation (30 days)

Mediation if necessary

Binding arbitration in California

12. Privacy and Data Use

Personal information protected per Privacy Policy

Data used only for program administration

No selling of member information

Bank-level security protocols

13. Program Modifications

Company reserves the right to:

Modify program terms with 30 days' notice

Adjust payment percentages with 60 days' notice

Update eligibility requirements

Enhance or modify services

14. Guarantee Terms

Satisfaction Guarantee

Earn $100+ in first 90 days or receive $50

Must maintain active account

Complete all verification requirements

One guarantee claim per member

15. Communication

Official Communications

Primary: Email to registered address

Secondary: Member dashboard notifications

Response required within specified timeframes

16. Governing Law

This Agreement is governed by California law, without regard to conflict of law principles.

17. Entire Agreement

This Agreement constitutes the entire understanding between Member and Company, superseding all prior agreements.

18. Acceptance

By clicking "I Agree" or accessing our services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
